Terms of Service
These Terms of Service (“Terms”) govern your access to and use of SOPReady, a product of Gurfinkel Ventures LLC (“SOPReady,” “we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use SOPReady.
1. Service description
SOPReady is a Software-as-a-Service platform that helps fire departments generate, manage, distribute, and track compliance with Standard Operating Procedures. The service includes AI-assisted SOP drafting, member acknowledgment tracking, compliance reporting, regulatory update monitoring, and audit trail maintenance.
2. Accounts and access
You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@sopready.com if you suspect unauthorized access.
Department administrators (“admins”) control member access and are responsible for inviting, managing, and deactivating users within their department. SOPReady isolates each department’s data — members of one department cannot view or modify another department’s data.
3. AI-generated content
SOPReady uses artificial intelligence (currently Anthropic Claude) to generate draft Standard Operating Procedures based on your department profile and applicable regulatory standards. You acknowledge and agree that:
- AI drafts may contain errors, omissions, outdated references, or content that is not applicable to your specific department. AI-generated content is a starting point, not a finished product.
- Every AI-generated SOP is saved as a “draft” and requires explicit review and approval by a department administrator before it becomes operational policy. Nothing goes live automatically.
- By approving an AI-generated SOP, you certify that you have reviewed its content and accept responsibility for its accuracy and applicability as your department’s official policy.
- SOPReady, Gurfinkel Ventures LLC, and the underlying AI providers are not liable for any decision, action, injury, death, or damage arising from the use of AI-generated content, whether or not it has been reviewed by a human.
4. Not professional advice
SOPReady is a compliance management tool. It is not legal advice, fire-service consulting, safety consulting, or a substitute for the professional judgment of your chief, training officer, attorney, or other qualified professionals. You should consult with appropriate professionals regarding your specific compliance obligations.
5. Customer responsibilities
- You are solely responsible for reviewing, approving, and maintaining all SOPs used by your department, regardless of whether they were generated by AI or written manually.
- You are responsible for the accuracy of your department profile, member records, and acknowledgment data.
- You are responsible for ensuring your use of SOPReady complies with applicable federal, state, and local laws, regulations, and standards.
- Acknowledgment records within SOPReady document that a member viewed and acknowledged a SOP. These records are compliance documentation, not performance evaluations.
6. Data ownership
You own all department data uploaded to or created within SOPReady, including SOPs, member records, acknowledgments, audit logs, and compliance reports. SOPReady retains a limited, non-exclusive license to process this data solely for the purpose of providing and improving the service.
We do not use your department’s SOP content to train AI models or to improve outputs for other departments. Your data is yours.
7. Payment, billing, and cancellation
- Subscriptions are billed monthly at the rate corresponding to your selected plan. Prices are listed on our website and may change with 30 days’ notice.
- You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing cycle. No partial-month refunds are issued for monthly plans.
- If payment fails, we will notify you and provide a reasonable grace period (typically 7 days) to update your payment method before restricting access.
- On cancellation, you may export all data (SOPs, members, acknowledgments, audit trail) for 30 days. After 30 days, we permanently delete your data from our active systems. Backups are purged within 90 days.
8. Acceptable use
You agree not to:
- Use the service to store or distribute content unrelated to fire department operations or SOP management.
- Attempt to access another department’s data, reverse-engineer the service, or circumvent access controls.
- Use automated tools to bulk-extract SOP content from the platform.
- Resell, sublicense, or redistribute SOPReady or its outputs to third parties.
9. Service availability
We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible. We are not liable for service interruptions caused by events beyond our reasonable control.
10. Limitation of liability
To the maximum extent permitted by applicable law, Gurfinkel Ventures LLC’s total liability for any claim arising out of or relating to the service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, personal injury, or property damage, regardless of whether we were advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless Gurfinkel Ventures LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the service, your violation of these Terms, or your department’s implementation of SOPs generated through the service.
12. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Massachusetts.
